The following Policies and Procedures of Service apply to
all products and services offered by
SiriEtta Marketing .All work is performed by
SiriEtta Marketing on the understanding that the client has agreed to
SiriEtta Marketing ’s Policies and Procedures.
Copyright is retained by
SiriEtta Marketing on all work including marketing concepts, content, pictures, ideas, visuals and illustrations unless specifically released in writing and after all costs have been settled.
If a choice of plan and/or design is presented and only one solution is chosen to fulfill agreement, thenall otherplans and designs areowned by
SiriEtta Marketing , unless otherwise agreed to in writing.
Project Acceptance SiriEtta Marketing will provide the client with a written estimate or quotation. The Policies and Procedures can be read on
SiriEtta Marketing 's website.
A copy of the written estimate or quotation is to be signed and dated by the client to indicate acceptance and should be returned to
SiriEtta Marketing via email, fax or snail mail. Acceptance is also deemed if there is a transfer of funds to
SiriEtta Marketing and/or a statement in writing of acceptance. The client may send an official order via snail mail, email or fax in reply to the estimate or quotation which implies client’s acceptance of
SiriEtta Marketing 'scontract of work and Policies and Procedures. No work on a project will commence until an acceptanceand/or a down payment has been received by
SiriEtta Marketing .
Websites Website design services to be provided by
SiriEtta Marketing will be in writing and sent with an estimate or quotation of cost. The client's acceptance indicates adherence of the Policies&Procedures. A deposit of 1/3 of the quoted fee will become immediately due. 25% of the initial 1/3 is non-refundable. The website will not begin until
SiriEtta Marketing has received this amount. Websites may be paid for via credit card, check, cash or certified funds.
Clients will be allowed a maximum of 2 design changes. All additional design changes will be charged at a rate of $100.00 per design. Clients will have the opportunity to review all work prior to release. After client has reviewed and approved, the remainder of the amount due will become payable immediately. Theclient will be required to approve via signature, email or faxed documentation. Accounts which remain outstanding for 30 days after the date of invoice, will incur an extra charge of 2% per month of the outstanding amount.
SiriEtta Marketing considers the design project complete upon receipt of the client's review and approval via snail mail, email or fax.
After the website is completed and approved,
SiriEtta Marketing will provide the client with the opportunity to make
one set of
minor changes at no extra cost within 14 days of approval. Minor changes include small textual changes and small adjustments to placement of items on the page. It does not include changes to images, color schemes or any navigation features. A set of minor changes can be sent to
SiriEtta Marketing by e-mail or fax within 14 days. If
SiriEtta Marketing has not received in writing and minor changes from the client within 14 days, that website is consideredcomplete and closed.
Cost for SEO, PPC, Marketing Consulting, Media Placement and All Other Service Monthly charges for all othermarketing services will be due (100% of the total) upfront. Payments will be due on the same day of each following month within the contract time table. All marketing services require a credit card for billing purposes.
Total payment for Media Placement is due 1 week (7 business days) prior to run and after client has approved media placement and schedule.
SiriEtta Marketing charges 15% for all electronic and print media placement.
Sponsored listings and the management thereof are 25% of the client’s total budget. All other internet marketing services and charges are outlined within the client agreement and/or the company website: www.SiriEtta.com.
Payment The fee for the Marketing/SEO Services is indicated in the Payment Terms. First Month Charges are due immediately upon signature of Agreement.
The following monthly charges, as indicated, are auto-billed on a 30-day billing cycle as per the signature date of the Agreement. Fees are to be paid monthly in USD. All fees and expenses are payable at the time of signature and are reoccurring on a monthly schedule. Fees for services are non-refundable. Any amount not paid pursuant to the terms of this Agreement shall accrue interest at the rate of one percent (1%) per month (twelve percent (12%) per annum) on the remaining amount due, such interest to accrue on a daily basis from the payable date until the remaining amount is paid.
SiriEtta Marketing has the right to remove any Marketing/SEO/PPC Services under
SiriEtta Marketing ’scontrol until payment is paid in full.
All work will be published by
SiriEtta Marketing after funds have been received and cleared.
Returned checks will acquire an additional fee of $75 per check and the client will be considered to be in default.
Default If a client has an unpaid balance for 30 days or more from the due date and the client's check has been returned; the client will be considered in default.Once in default
SiriEtta Marketing will/can remove the client's information from any and all computer systems, until all balances have been cleared. This includes any and all unpaid monies due for marketing services, websites, search engine optimization, pay per click, social media marketing, hosting, domain registration, search engine submission, maintenance, application integration, sub-contractors, etc.
Removal of the client’s information does not dismiss the client of theircommitment to pay the owed amount. Clients whose accounts become default agree to pay
SiriEtta Marketing reasonable legal expenses and third party collection agency fees in the enforcement of these Policies and Procedures.
If payment isn’t received within ten (10) days of the due date,
SiriEtta Marketing will suspend all services. If payment isn’t received within fifteen (15) days of the due date, all creative, design, copy and any other materials used or created in the process of creating the “Product”, shall remain with
SiriEtta Marketing . Ownership of all creative, design, copy, etc. regarding client shallremain with
SiriEtta Marketing and cannot be used without written permission from
SiriEtta Marketing . Copyrights, Trademarks& Licensing All supplied text, images and other data sent to
SiriEtta Marketing for inclusion in the client's website, logo, Facebook Fan page or other mediums, is declared by the client’s appropriate copyright and/or trademark permissions. Trademark ownership will remain with the client, or rightful copyright or trademark owner.
Any artwork, images, or text supplied and/or designed by
SiriEtta Marketing on behalf of the client, will remain the property of
SiriEtta Marketing and/or their suppliers.
Clients may request in writing from
SiriEtta Marketing , the necessary permission to use materials (for which
SiriEtta Marketing holds the copyright) in forms other than for which it was originally supplied, and
SiriEtta Marketing may, at its discretion, grant this. Such permission must be obtained in writing before it will allow any of the aforesaid artwork, images, text, or other data to be used.
By supplying images, text, or any other data to
SiriEtta Marketing , the client grants
SiriEtta Marketing permission to use this material freely in the pursuit of the design.
Any image, text, audio clip or any other file supplied by the client and used in websites, logos, advertising, media, presentations, print, promotionsor any other medium believing it to be copyright and royalty free. If this is not the case, the client agrees that
SiriEtta Marketing may remove and/or replace the before mentioned file immediately.
Clients agree to fully indemnify and hold
SiriEtta Marketing free from harm in any and all claims resulting from the client not having obtained all the required copyright, and/or any other necessary permission.
Any design, copywriting, idea or code created for the client by
SiriEtta Marketing , or any of its contractors, is licensed for use by the client on a one-time only basis and may not be modified, re-used, or re-distributed in any way or form without the express written consent of
SiriEtta Marketing .
All design work- where there is a risk that another party make a claim, should be registered by the client with the appropriate authorities prior to publishing or first use or searches and legal advice sought as to its use.
SiriEtta Marketing will not be held responsible for any and all damages resulting from such claims.
SiriEtta Marketing is not responsible for any loss, or consequential loss, non-delivery of products or services, of whatever cause. The client agrees not to hold
SiriEtta Marketing responsible for any such loss or damage. Any claim against
SiriEtta Marketing shall be limited to the relevant fee(s) paid by the client.
Requirements Client agrees to cooperate with
SiriEtta Marketing and provide the access, resources, materials, personnel, information, and consents that
SiriEtta Marketing may require to perform the Marketing/SEO services and comply with obligations related to the Marketing/SEO Services. Client hereby agrees to provide
SiriEtta Marketing with the following:
If Client refuses to meet as scheduled or adhere to marketing suggestions made by
SiriEtta Marketing ,
SiriEtta Marketing is not liable for results notachieved.The Client will provide SiriEtta Marketing with reasonable consideration to achieve the efficient and effective marketing goals as described within Marketing Proposal.
All media (radio, TV, Cable, print, etc.) is billed through
SiriEtta Marketing at a 15% agency rate. Payment in full for all media is
due 1 week in advance. Any amount not paid pursuant to the terms of this Agreement shall accrue interest at the rate of one percent (1%) per month (twelve percent (12%) per annum) on the remaining amount due, such interest to accrue on a daily basis from the payable date until the remaining amount is paid.
Administrative/backend access to the website for analysis of content and structure. Authorization to use its pictures, logos,
trademarks, web site images, pamphlets, content, etc., for any use as deemed necessary by Company for search engine optimization purposes.
Access to hardware, software, services, hosting, ftp or other resources deemed necessary by SiriEtta Marketing to fulfill its obligations under this Agreement.
The client also agrees to allow SiriEtta Marketing access to any computer systems, usernames and passwords required to remove data and/or sites for failure to comply with these Policies and Procedures.The client agrees to supply SiriEtta Marketing with all necessary materials, electronic, or otherwise, required to create and complete the projects, and to supply them in a timely manner.
If Client will not be granting website access, SiriEtta Marketing will provide Client with the recommended on-site changes and it will be the Client's responsibility to make these changes. SiriEtta Marketing will provide reasonable assistance for the implementation of the recommended on-site changes.
Modifications Clients will be allowed a maximum of 2 design changes. All additional design changes will be charged at a rate of $100.00 per design. Once the website is approved and released,
SiriEtta Marketing has the right to not make any further changes without the acceptance of an additional and separate charge.
The client also agrees that
SiriEtta Marketing holds no responsibility for any amendments made by any third parties, before or after a design is published.
Deadlines SiriEtta Marketing will give the client an estimated date of completion. Deadlines are flexible and will require the client’s timely approval and release of needed information.
SiriEtta Marketing cannot be held responsible for any project over-runs, whatever the cause. Estimated project duration should be deemed to be from the date that cleared funds are received by
SiriEtta Marketing for the initial payment or by date confirmed in writing by
SiriEtta Marketing .
Privacy We will not sell or distribute email addresses and or personal information. We are an adult website and ask that parents and guardians do not permit access to our site for children under the age of 15.
Hosting Websites SiriEtta Marketing does not offer hosting services.
SiriEtta Marketing can only suggest possible sub-contractors and does not guarantee continuous service and will accept no liability for loss of service, whatever the cause.
SiriEtta Marketing may request that clients change the type of hosting account used if that account is deemed by
SiriEtta Marketing to be unacceptable because of poor service, lack of bandwidth or in any other way insufficient to support the website. Fees due to the hosting organization are the responsibility of the client and
SiriEtta Marketing is not liable for payment.
Domain Registration SiriEtta Marketing cannot guarantee the availability of any domain name. If
SiriEtta Marketing is to register a domain name on behalf of a client, itis the client’s responsibility to assume a successful registration and continual domain service.
Search Engine Optimization Due to the infinite number of considerations that search engines use when determining a site's ranking;
SiriEtta Marketing cannot guarantee any particular placement. Acceptance by any search engine cannot be guaranteed and when a site is accepted, the time it takes to appear in search results varies from one search engine to another. Rankings will also vary as new sites are added.
Marketing Notices Client agrees to allow
SiriEtta Marketing to place a link on all
SiriEtta Marketing designs, websites,marketing materials and advertisements to
SiriEtta Marketing 's own website.
Client also agrees to allow
SiriEtta Marketing to place websites and other information pertaining to
SiriEtta Marketing ’s marketing accomplishments on
SiriEtta Marketing 's website, Facebook page, Twitter feed, LinkedIn feed, etc. for demonstration purposes and to use in its own publicity.
Rights of Refusal SiriEtta Marketing will not include or utilized any data in any form which is deemed to be immoral, offensive, obscene or illegal. All advertising material must conform to all standards laid down by all relevant advertising standards.
SiriEtta Marketing reserves the right to refuse inclusion of any before mentioned data or materials submitted by the client, without reason. The client is obliged to permit
SiriEtta Marketing to remove the infringement without burden or penalty any and all data which meets the before mentioned.
SiriEtta Marketing is not responsible for any such data being included.
Cancellation Cancellation of orders may be made initially by telephone contact, or e-mail. However,
SiriEtta Marketing requires all cancellations
after the contract term has been realized in writing to the company's postal address:

9520 Berger Road, Suite 212 Columbia, MD 21046 The client will be billed for all work completed over and above the non-refundable deposit. The balance is due within 30 days of cancellation. Any cancellation which is not
confirmed in writing and received by
SiriEtta Marketing within 14 days of such instruction being issued will be liable for the full quoted cost.
Disclaimer SiriEtta Marketing makes no warranties of any kind, express or implied, for any and all products and/or services supplied.
SiriEtta Marketing will not be held responsible for any and all damages resulting from products and/or services supplied.
SiriEtta Marketing is not responsible for any loss, or consequential loss of data, or non-delivery of products or services, of whatever cause. While we take reasonable steps to investigate the materials we recommend, we accept no responsibility for the performance or quality of materials or any consequential loss arising from their failure. The client agrees not to hold
SiriEtta Marketing responsible for any such loss or damage. Any claim against
SiriEtta Marketing shall be limited to the relevant fee(s) paid by the client.
SiriEtta Marketing reserves the right to use the services of sub-contractors, agents and suppliers and any work, content, services and usage is bound by their Policies and Procedures.
SiriEtta Marketing will not knowingly perform any actions to breach these and the client also agrees to be so bound.
SiriEtta Marketing and its clients agree to comply with Printers Policies and Procedures which include disclaimers for non-completion on time and the flexibility to supply quantities within 10% of the total order.
Acceptance of Quotation and Policies and Procedures The placement of an order for any products and/or
services offered by
SiriEtta Marketing and validated by the client's commitment via email, agreement signature and/or transfer of funds, constitutes acceptance and agreement to fully adhere to the Policies and Procedures hereby set forth between client and
SiriEtta Marketing .
SiriEtta Marketing reserves the right to change any rates and any of the Policies and Procedures at any time and without prior notice.
